Customer and User Agreements
Terms of Service

The terms for personal Teamledge accounts, authorized workspace users, and our website.
1. Scope and acceptance
These Terms of Service (“Terms”) are between you and Teamledge Tech Inc. (“Teamledge,” “we,” or “us”). They govern your personal Teamledge account, your use as an authorized workspace user, and the Teamledge websites and applications that refer to these Terms.
When these Terms are presented to you and you accept them during registration or another acceptance flow, you agree to follow them. If you do not agree, do not register or use account-based features. Website visitors may browse publicly available information subject to applicable law and the intellectual property and acceptable-use rules below; merely visiting does not purchase a subscription.
Organizations that create or subscribe to a workspace are “Customers.” Their workspace, payment, and commercial obligations are governed by the Software Services Agreement (“SSA”) and accepted Order. Joining your employer’s workspace does not make you personally responsible for its subscription fees or customer indemnity. You may bind an organization only if you have authority to do so.
The Privacy Policy explains personal-information handling. The Teamledge AI Terms supplement these Terms when you use AI. For Customer-controlled personal information, the Data Processing Addendum (“DPA”) governs our processing for the Customer. The DPA controls processing conflicts; AI Terms control AI-specific conflicts subject to the DPA; the SSA controls the Customer’s commercial relationship. None removes mandatory statutory rights.
2. Eligibility and account security
Provide accurate information, maintain your contact details, and keep your password, authentication codes, and recovery codes private. Each account is for one person. Do not share credentials or use another person’s account. Follow available verification procedures and promptly report suspected compromise to support@teamledges.com.
You must have legal capacity to accept these Terms, or use the Services under an arrangement permitted by law with any required parent or guardian authorization. Teamledge is intended for workforce use, not services directed to children. A Customer inviting young workers is responsible for lawful authorization, appropriate supervision, and required notices.
Registration alone does not start a workspace trial or authorize charges. A trial or paid subscription requires a separate workspace creation or purchase flow and acceptance by an authorized Customer representative.
3. Your account and your employer’s workspace
A personal account can belong to more than one workspace. Each workspace has separate membership, permissions, and business records. Its Customer determines your role, assigned training, document requests, and access within that workspace.
When you accept an invitation, permitted account details may initialize a workspace employee profile. The Customer can maintain its workspace copy according to permissions. Personal account identity and security changes use the account verification process; workspace administrators do not acquire your password or recovery codes.
Authorized administrators may view employee profiles, training progress, scores, submitted evidence, uploaded documents, broadcasts, read status, performance records, and other workspace activity within their permissions. The Customer must explain its workplace practices and use that information lawfully. These Terms do not waive your privacy or employment rights.
Suspension or removal from one workspace does not delete your personal account or other memberships. Contact the Customer about its assignments, employment decisions, or access settings. Contact Teamledge about personal account security, technical issues, or our own processing.
4. Permitted and prohibited use
While authorized, you may use the released features made available to your account and workspace for the Customer’s internal work. Your access is limited by the Customer’s subscription and your permissions. You must not:
- Access information, accounts, or workspaces without permission, bypass security controls or usage limits, or conduct unauthorized security testing.
- Upload malware, interfere with the Services, extract information through unauthorized scraping, or disclose confidential information outside its authorized audience.
- Harass, discriminate unlawfully, impersonate another person, fabricate evidence, falsify assessment results, or violate another person’s privacy or intellectual property rights.
- Reverse engineer non-public software except where a legal right permits it, or sell or sublicense access without our written permission.
- Use the Services in violation of applicable Canadian sanctions, export restrictions, or other laws.
You remain responsible for your own conduct. Report abuse or an intellectual property concern to support with sufficient detail for us to investigate. We may restrict affected content or access reasonably and proportionately under Section 8.
5. Content, records, and AI
You and the relevant rights holders retain rights in submitted content. Submit only information you are entitled to use and disclose. You authorize the processing needed to provide the feature you request and to share content with the intended authorized workspace audience. The Customer’s rights in business records are subject to applicable law, your employment arrangements, and other rights holders’ interests.
Teamledge and its licensors own the software, interface, documentation, and branding. These Terms do not transfer that technology to you. Voluntary product feedback may be used without payment, but private workspace materials are not automatically feedback.
Review AI-generated content before using it. Confirm the content, affected employees, and consequences before authorizing an AI-assisted action. AI cannot expand your permissions, and its output may be inaccurate or unsuitable. The AI Terms explain input and output rights, prohibited uses, and data handling.
A completion record, document approval, read receipt, or generated certificate is evidence of the recorded workflow; it is not an independent certification of competence, document authenticity, compliance, or legal consent. Do not rely on notifications as your only source of emergency instructions.
6. Privacy and device permissions
The Privacy Policy explains what we collect, why, who may receive it, retention, and your choices. Acceptance of these Terms is not consent to unrelated marketing or unlimited monitoring. Privacy requests may be sent to support@teamledges.com; we may verify your identity or direct employer-controlled requests to the Customer.
Mobile features may request camera, photo, file, or notification permissions for a function you select. You can manage these through device settings. Disabling a permission may affect the associated function. App-store rules govern your relationship with the store and prevail where mandatory.
A Customer-selected integration may have separate terms and privacy practices. Teamledge remains responsible for its own contractual and legal obligations concerning providers processing information on its behalf.
7. Leaving and deleting an account
You can stop using your account. Before self-service personal account deletion, resolve your workspace memberships and any Owner responsibilities by transferring ownership or deleting an owned workspace. If you cannot complete the process, contact support. Statutory privacy requests do not depend on completing self-service steps.
Deleting a personal account does not cancel a workspace subscription, delete another Customer’s workspace, or erase business records that must lawfully be retained. Removing a workspace membership also does not automatically erase training, assessment, document, or audit history.
Workspace cancellation and deletion are separate actions governed by Section 12 of the SSA. Supported deleted items normally have a 30-day recycle-bin period, while a workspace deactivated for deletion has a 14-day recovery period. Permanent deletion may be irreversible, and legal retention exceptions can apply.
8. Service changes and restricted access
Features depend on release status, device compatibility, workspace configuration, and the Customer’s plan. Preview features and roadmap descriptions are not promises of future availability. We may maintain, update, or modify the Services; the SSA governs paid-service commitments and remedies.
We may suspend or terminate affected account access for a material breach, unlawful use, serious security risk, or legal requirement. We will give reasons and a reasonable opportunity to resolve the issue where practicable; urgent risks or legal restrictions may require immediate action. Contact support to ask for review of a restriction.
Workspace access may also end because the Customer changes your membership or its subscription expires. Losing access does not remove data protection obligations or rights that must continue under law.
9. Service limitations and responsibility
We will exercise reasonable care and skill in providing the Services. No software is completely secure, uninterrupted, or error-free. Content, AI output, notifications, and reports do not replace professional advice, required records, or independent judgment.
To the extent permitted by law and subject to express commitments, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither party is liable under these personal-use Terms for indirect or consequential damages. Teamledge’s aggregate liability for a claim under these Terms is limited to the greater of CAD $100 or the fees paid or payable for the affected Customer Service in the preceding 12 months; for an account without an associated Customer, the cap is CAD $100.
These limitations do not apply to fraud, wilful misconduct, gross negligence, bodily or moral injury where limitation is prohibited, or any other liability or right that cannot lawfully be limited. They do not make you responsible for Teamledge’s own failures. Customer commercial claims are governed by the SSA, not this personal-account cap.
10. Canadian law, updates, and contact
These Terms are governed by applicable federal Canadian law and the laws of your province or territory of ordinary Canadian residence. For someone accepting on behalf of a Customer, the SSA identifies the Customer’s applicable Canadian province or territory. Courts with competent jurisdiction in that province or territory may hear disputes, subject to mandatory jurisdiction rules.
Contact support first so we can try to resolve a concern. We do not require mandatory arbitration or waive class proceedings. Nothing prevents a regulatory complaint, urgent relief, action needed to protect a legal deadline, or another non-waivable right.
We will date and publish updates and provide at least 30 days’ notice of material changes unless a shorter period is needed for law or urgent security. Changes requiring express acceptance will be presented for acceptance; otherwise continued use after the notified effective date constitutes acceptance only where legally permitted. A change to these Terms does not alter a Customer’s committed commercial terms outside the SSA process.
If a provision is unenforceable, it is limited or severed as necessary and the rest continues. A failure to enforce a term is not a waiver. Provisions intended to survive, including content rights, privacy responsibilities, liability, and dispute provisions, survive account closure. Mandatory French-language and other provincial or territorial requirements prevail; a website language setting does not waive them.
