Customer and User Agreements
Software Services Agreement
Last updated
The agreement for organizations using Teamledge workspaces, subscriptions, and business services.
1. The agreement and its scope
This Software Services Agreement (the “Agreement”) governs the Teamledge workspaces, web and mobile applications, and related business services purchased or activated by a Customer (together, the “Services”). The Services are provided by Teamledge Tech Inc. (“Teamledge,” “we,” “us,” or “our”) for businesses and organizations operating in Canada.
A “Customer” is the business or organization that creates or subscribes to a Teamledge workspace. A “User” is an individual authorized to use the Services, including an owner, administrator, employee, or contractor. “You” means the Customer or User, as the context requires. An “Order” is an accepted checkout, order form, or other written agreement specifying the Services purchased.
This Agreement takes effect when an authorized Customer representative accepts it during workspace creation or checkout, or signs an Order incorporating it. Creating a personal account alone does not subscribe an organization or authorize charges. An individual User’s account and conduct are governed by the Terms of Service; the Customer is responsible for ensuring its authorized Users follow the workspace rules in this Agreement.
The Data Processing Addendum forms part of this Agreement when we process personal information on the Customer’s behalf. The Teamledge AI Terms apply when AI features are enabled and accepted. In a conflict, the DPA controls personal-information processing, AI Terms control AI-specific matters subject to the DPA, and this Agreement controls the general commercial relationship. A signed amendment or Order changes a provision only if it expressly identifies the change. It cannot override mandatory law. The Privacy Policy explains our practices and does not reduce these contractual commitments.
2. What Teamledge provides
Teamledge helps organizations coordinate workforce training and operations across locations and departments. Depending on the features made available in your plan, the Services include:
- Creating, publishing, assigning, and tracking courses, exams, practical assessments, learning paths, and refresher quizzes.
- Collecting and reviewing employee and branch documents, tracking expiry dates, and maintaining submission histories.
- Publishing internal broadcasts, sharing messages, and tracking reading and acknowledgement activity.
- Managing workspace members, employee profiles, organizational relationships, permissions, performance records, and operational reports.
- Using AI to prepare content, query authorized information, and propose administrative actions for human review.
We grant the Customer and its authorized Users a limited, non-exclusive right to access and use the Services for the Customer’s internal business purposes during the applicable subscription or trial, subject to this Agreement and the Order. This includes permitted use of Teamledge’s mobile applications on supported devices.
Availability depends on the purchased plan, permissions, supported device, and released functionality. Product roadmaps, demonstrations, previews, and design concepts are not commitments to deliver a future feature. Beta features may change or be withdrawn and should not be relied on for essential recordkeeping.
3. Personal accounts and workspaces
3.1 Your personal account
Your personal Teamledge account is separate from a Customer’s workspace. One account may join multiple workspaces, with separate membership, permissions, and records in each. Access to one workspace does not grant access to another.
Provide accurate account information, keep your credentials confidential, and use available security controls appropriate to your role. Each account is for one individual; credentials must not be shared. Notify us promptly at support@teamledges.com if you suspect unauthorized access.
3.2 Workspace administration
The Customer appoints its workspace Owner and administrators and is responsible for their authorized instructions, access settings, and Users’ compliance within that workspace. The Owner controls ownership transfer and workspace deletion, and manages subscription responsibilities. Administrative or module permissions do not automatically authorize Owner-only actions or purchases.
Workspace employee profiles and business records are managed by the Customer. Authorized administrators may maintain those profiles, assign work, review submissions, and manage access. They do not acquire control of a User’s personal password, recovery codes, or personal account. Account email and phone changes must follow the personal account verification process.
The Customer must review access when a person joins, changes roles, or leaves. Suspending or removing a member restricts that workspace membership; it does not delete the person’s account or membership in other workspaces. Workspace business history may remain subject to lawful retention requirements.
3.3 Eligibility
Customer representatives must have legal capacity to enter into this agreement. The Services are intended for workforce use and are not directed to children. A Customer may authorize a worker below the age of majority only where lawful, with appropriate supervision and any parent or guardian authorization required by applicable law. The Customer must not use an invitation or acceptance of this Agreement as a substitute for required privacy notices or consent.
4. Plans, seats, and usage limits
Your Order identifies the subscription period, fees, currency, included resources, and purchased add-ons. Current offers are described on our pricing page; the amounts and entitlements confirmed when you purchase govern that Order. Unless an Order says otherwise, prices are in Canadian dollars and exclude applicable taxes.
Subscriptions belong to a workspace. Resources may include ordinary seats, AI seats, branches, storage, and recurring AI credit allowances. An AI seat permits use of available AI features but does not increase the User’s underlying data access or administrative permissions. Administrators must retain the AI seat entitlement required by the selected plan.
Available purchased capacity is used before additional capacity is purchased. Removing a member or branch releases its allocated capacity; it does not by itself cancel a purchased add-on or guarantee a refund. Suspending a member does not automatically reduce billable seats. Billing changes take effect as shown in the confirmed adjustment.
Base plans and recurring add-ons in the same subscription use the same monthly or annual billing cycle. AI allowances reset monthly even when the subscription is billed annually. Unless the Order expressly provides otherwise, unused monthly allowances do not roll over. AI credits are service usage units, have no cash value, and cannot be transferred or redeemed for money. Applicable allowances and usage calculations are displayed in the Services.
Reaching an AI allowance limit pauses AI functionality without suspending non-AI features. Storage limits may prevent new uploads while existing files remain readable. Seat and branch limits may prevent new additions or activations. These resource limits are distinct from suspension for non-payment, security, or misuse.
5. Trials, billing, and renewal
5.1 Trials
Where offered, a free trial lasts 14 days and begins when an eligible workspace is created, not when a personal account is registered. Unless a different offer is expressly stated, each eligible personal account may receive one trial. Trial features and resource limits are shown during signup.
If you accept a trial that converts to a paid subscription, the selected monthly or annual plan starts and is charged at the end of the trial unless the Owner cancels before it ends. The conversion date, price, billing cycle, and payment authorization must be disclosed when you enroll. A trial without an authorized paid conversion does not authorize us to charge you.
5.2 Recurring subscriptions
Monthly and annual subscriptions renew automatically for the same billing period unless cancelled before the renewal date. Renewal includes the recurring add-ons remaining on the subscription. We send a reminder seven days before renewal or an invoice payment due date. You should also track the dates shown in your billing settings.
For automatic payments, the Customer authorizes Teamledge and its payment processor, Stripe, to charge the approved payment method for the initial purchase, renewals, applicable taxes, and additional purchases the Customer authorizes. For approved invoice billing, payment is due on the date stated in the invoice; receiving an invoice does not by itself authorize a card charge. Keep billing and contact information current.
5.3 Changes and prorated charges
Before a chargeable change, we display the resource quantities, price, taxes, credits, any prorated amount, and payment timing for confirmation. Mid-period resource additions are normally prorated for the remaining period and included on the next subscription invoice. Resource reductions take effect at the end of the period or produce the credit shown in the confirmed preview; a credit is not necessarily a cash refund.
A change from monthly to annual billing may take effect immediately with credit for the applicable prepaid monthly amount. A change from annual to monthly billing takes effect at the end of the current annual term. The confirmed preview specifies the amount due and when it will be collected.
5.4 Price changes, taxes, and failed payments
We will notify the Customer at least 30 days before a recurring price increase applies. An increase applies at a subsequent renewal, after that notice period, unless the Customer expressly accepts a different change. The Customer may cancel renewal before the increase takes effect. Taxes required by law may change independently.
The Customer is responsible for applicable sales and similar taxes, excluding taxes on Teamledge’s income. If an automatic payment fails, we provide notice and a seven-day grace period before suspension for non-payment. For invoice billing, the grace period begins after the invoice becomes overdue. We may retry authorized payments and restore access when the overdue amount is paid, subject to any independent security or legal restriction.
During an ordinary non-payment suspension, employee workspace access is restricted and authorized administrators retain the billing, subscription, and export functions available for recovery. Non-payment alone does not immediately delete workspace data. Contact support@teamledges.com promptly about a suspected billing error. Nothing here removes a payment dispute or chargeback right provided by law.
6. Cancellation and refunds
The Owner can cancel renewal through workspace subscription settings. If that route is unavailable, an authorized representative may request cancellation at support@teamledges.com before renewal; we may verify authority. A timely request will be effective for the intended renewal even if our processing finishes later.
Unless the cancellation concerns a trial or a different right expressly applies, cancellation takes effect at the end of the current paid term. Access continues until then. After expiry, employee access ends, while authorized administrators retain read-only and export access during the applicable data retention period. Resubscribing may restore access while the data remains available.
Cancelling a subscription does not delete the workspace, and deleting a personal account does not cancel a workspace subscription. Workspace deletion follows Section 12. Cancellation does not erase charges already incurred, including approved prorated additions not yet invoiced.
Fees for a committed subscription term are non-refundable except where required by law, stated in an Order, or provided under this Agreement. Unused seats, reduced usage, or voluntary early workspace deletion do not automatically create a refund. We will correct verified billing errors. Refunds for a qualifying service failure, discontinuation, or termination by Teamledge are described in Sections 13 and 14.
7. Your content and personal information
“Customer Data” means the content and workspace information submitted by or for the Customer, including training materials, employee profiles, documents, assessment evidence, messages, AI inputs and outputs, and related business records. The Customer and relevant rights holders retain their rights in that data. This Agreement does not transfer an individual’s privacy rights or ownership of third-party materials to the Customer.
The Customer authorizes Teamledge and service providers acting on our behalf to host, copy, transmit, display to authorized recipients, and process Customer Data as necessary to provide, maintain, secure, and support the requested Services, follow lawful Customer instructions, and meet legal obligations. This permission does not authorize us to sell Customer Data or publish private workspace content for advertising.
The Customer must have the rights and lawful authority needed for its content and instructions. It must provide required notices, collect only appropriate information, establish lawful retention periods, and obtain consent or other authority where required. This includes information about employees, contractors, emergency contacts, and people appearing in uploaded evidence.
The Customer generally determines the purposes of processing workspace personnel information. Teamledge also handles personal account, billing, security, support, and service administration information for its own operational responsibilities. Applicable roles depend on the processing activity and law; we do not treat every category of information as controlled exclusively by the Customer.
Our Privacy Policy explains collection, use, disclosure, safeguards, retention, cross-border processing, and individual rights. The Data Processing Addendum governs our handling of personal information on the Customer’s behalf. Acceptance of this Agreement is not blanket consent to employee monitoring, marketing, or unrelated processing.
Do not upload passwords, authentication codes, payment-card security codes, or information you are not authorized to disclose. Highly sensitive or regulated information should be submitted only when necessary, lawful, and appropriate for the supported feature and agreed safeguards. Canadian business availability does not mean all information is stored or processed exclusively in Canada; any specific residency commitment must be agreed in writing.
Requests about employer-controlled records should normally go to the Customer. We will assist as required by law and our agreement. Requests about your personal Teamledge account or our processing may be sent directly to us. Nothing in this Agreement limits a person’s non-waivable privacy, access, correction, complaint, or deletion rights.
8. Training, documents, and workplace decisions
The Customer selects and validates training content, assessment criteria, evaluators, required documents, audiences, deadlines, and workplace policies. It is responsible for deciding whether those materials and processes satisfy its legal, employment, safety, accessibility, and industry obligations.
A course completion, exam result, practical assessment, certificate, document approval, read receipt, or acknowledgement records an activity within the Customer’s configured workflow. It does not independently establish professional competence, document authenticity, regulatory certification, legal consent, or a legally sufficient electronic signature. Document approval is the reviewer’s decision, not verification by Teamledge.
Published versions, assignments, attempts, submissions, and results may be preserved separately to maintain history. Editing or withdrawing source content, issuing a new assignment, or removing a member does not necessarily erase earlier business or audit records. The Customer must review the consequences shown before changing or deleting records and keep any independent copies it is required to retain.
Employee monitoring and use of performance, training, and read-status information must be lawful, proportionate, and disclosed as required. Users must not fabricate evidence, falsify results, or submit work as another person. The Customer remains responsible for employment and safety decisions and must provide meaningful human review where appropriate or legally required.
Notifications may be delayed or fail because of connectivity, device settings, or delivery providers. The Services are not an emergency notification system and should not be the sole means of delivering urgent safety instructions or legally required notices.
9. AI assistance and human review
AI features may draft training materials, questions, assessment criteria, broadcasts, translations, or reminders; summarize authorized records; and prepare management actions. AI access requires the relevant AI seat, available usage allowance, and permission for the workspace and underlying information.
AI-generated content is prepared as a draft. Publishing, assigning, withdrawing, deleting, changing deadlines, and other consequential business changes require confirmation by an authorized User. The User must check the proposed content, employee scope, permissions, and consequences before confirming. AI does not grant new access rights or authority to act across workspaces.
Outputs can be inaccurate, incomplete, biased, outdated, or similar to outputs supplied to others. Review, edit, and verify them before use, especially in safety training, assessments, or employment matters. Do not use AI output as the sole basis for hiring, disciplinary, dismissal, safety, or other decisions with significant effects on a person. AI does not provide professional advice or guarantee a compliant outcome.
Only submit inputs you are entitled to use and disclose. Relevant inputs and authorized source information may be processed by third-party AI providers to provide the requested feature. Provider arrangements, retention, and any model-training restrictions are described in the applicable privacy information, product disclosures, or agreed addendum. This Agreement does not grant a separate permission to use private Customer Data to train general-purpose AI models.
As between Teamledge and the Customer, the Customer may use outputs generated for its workspace and retains any rights it has in them. To the extent Teamledge holds transferable intellectual property rights in those outputs, we assign those rights to the Customer. This does not include our underlying software or another person’s rights and does not guarantee that an output is protectable, exclusive, or free of third-party claims.
10. Acceptable use
You must use the Services lawfully and within your authorized access. In particular, you must not:
- Infringe intellectual property, confidentiality, privacy, employment, or other rights; unlawfully discriminate; or use the Services for harassment or deceptive communications.
- Upload malicious software, exploit the Services, disrupt other users, or bypass authentication, workspace boundaries, permissions, usage limits, or billing controls.
- Access another person’s account, impersonate someone, falsify training or compliance records, or disclose information outside your authorized audience.
- Extract information through unauthorized scraping or bulk collection, or conduct security testing without our written authorization. This does not restrict a right expressly protected by applicable law.
- Reverse engineer or attempt to obtain non-public source code, except where applicable law permits this despite a contractual restriction.
- Resell, sublicense, or commercially provide access to the Services to third parties unless an Order authorizes that use.
- Use the Services in violation of applicable Canadian sanctions, export restrictions, or anti-corruption laws.
We may investigate reported violations and restrict affected content or access proportionately under Section 13. Report abuse, a security concern, or a claimed intellectual property infringement to support@teamledges.com, with enough information to identify the issue and your authority to report it.
11. Security and third-party services
We will maintain reasonable technical, administrative, and organizational safeguards appropriate to the information we process. No service can guarantee complete security or uninterrupted availability. Each party must promptly address incidents within its control and cooperate reasonably on investigation and remediation. We will provide incident notices required by applicable law and any agreed data processing addendum.
We use providers for functions such as payment processing, hosting, storage, AI, and notification delivery. We remain responsible for our contractual and legal obligations when using providers to perform our Services. This is different from an independent integration or service the Customer chooses to connect; the Customer is responsible for its decision to enable that service and authorize data sharing under the third party’s terms.
Mobile applications may need permission to access the camera, photos, files, or notifications for the feature a User chooses. Device settings control those permissions, and disabling one may affect the related function. App-store terms also apply to downloads and purchases through an app store; any mandatory store refund or cancellation rules prevail where applicable.
No uptime percentage, dedicated support response time, security certification, or country-specific hosting commitment applies unless expressly included in an Order or separate written agreement.
12. Retention, export, and deletion
12.1 Different actions have different effects
Suspension limits access. Removal ends a workspace membership. Archiving preserves historical records outside active workflows. Withdrawal stops an item’s active use. Deletion may start a recovery period, while permanent deletion removes eligible data irreversibly. None of these actions automatically has all the effects of the others.
12.2 Recycle bin
Supported deleted content and records enter a recycle bin for 30 days, unless an authorized User confirms earlier permanent deletion or a legal requirement applies. Recovery depends on the item’s dependencies, permissions, and retention status. After permanent deletion, recovery is not available through the Services. Related completed training, approval, billing, or audit records may be retained or de-identified when necessary and lawful.
12.3 Workspace deletion
Only the workspace Owner may request workspace deletion through the verified deletion process. Where offered, the Owner can choose immediate deactivation or deactivation at the end of the subscription term. The confirmation identifies the deactivation date, billing consequences, and scheduled permanent deletion.
A 14-day recovery period starts when the workspace is deactivated for deletion. During that period, all ordinary workspace content access is disabled, and the Owner may revoke the deletion request using the available recovery process or by contacting support. Export needed data before deactivation. After the recovery period, eligible data is permanently deleted, subject to lawful retention and restricted backup handling.
Revoking deletion cancels the deletion schedule; it does not automatically renew a cancelled subscription or resolve an unpaid balance. Deleting a workspace does not delete its members’ personal accounts or their other workspaces. Voluntary deletion does not automatically refund unused subscription time.
12.4 Personal account deletion
Before using personal account deletion, a User must resolve existing memberships and any Owner responsibilities by leaving or being removed from workspaces and transferring ownership or deleting an owned workspace. Personal account deletion does not automatically delete a Customer’s lawful business records. Statutory privacy requests may be submitted to support independently of the self-service deletion process.
12.5 Export and retention
Authorized administrators can export the supported workspace records available to their permissions, including during ordinary subscription cancellation or non-payment suspension while those records remain retained. Security restrictions, legal requirements, and a workspace deactivated for deletion may limit access. Contact support if an export is unavailable.
We retain personal information only as necessary for the identified purposes, applicable agreements, lawful Customer instructions, and legal obligations. The retention period for an inactive workspace will be stated in the applicable Order or communicated to the Owner before scheduled deletion, with a reasonable opportunity to export. Cancellation is not a commitment to store data indefinitely.
Limited billing, security, audit, dispute, and legally required records may remain after operational data is deleted. Residual copies may remain in restricted backups until overwritten under the applicable backup cycle; they are not made available for ordinary use. We do not promise a universal retention period for every record or that recovery windows override a legal deletion obligation. The Customer must maintain the independent records and backups its business requires.
13. Suspension and termination
This Agreement applies from acceptance until the applicable Services or account are terminated. Ending one Customer’s subscription does not by itself terminate a User’s personal account or another Customer’s subscription.
We may restrict or suspend the affected Services when reasonably necessary to address a material breach, unlawful activity, a serious security risk, harm to others, a legal requirement, or overdue payment. We will give notice and an opportunity to resolve the issue where practicable. Immediate action may be necessary for urgent risks or legal orders. Payment-related suspension follows Section 5.
Either the Customer or Teamledge may terminate an affected Order for a material breach that remains unresolved 30 days after written notice describing the breach. Termination may be immediate if the breach cannot reasonably be remedied or continued service is unlawful. We will limit restrictions to what is reasonably needed and restore access when the reason is resolved.
If Teamledge ends a paid Service for convenience, we will give at least 30 days’ notice where practicable and refund prepaid fees for the unused portion. The Customer also receives that prorated refund when it validly terminates for Teamledge’s uncured material breach. No contractual refund is due for termination caused by the Customer’s breach, except as required by law.
Accrued payment obligations remain due. Data handling and export follow Section 12; where lawful and safe, we will offer a reasonable export opportunity before deletion following termination by Teamledge. Provisions concerning accrued fees, data handling, intellectual property, confidentiality, liability, indemnification, disputes, and matters intended to survive continue after termination.
14. Service commitments and limitations
We will provide paid Services with reasonable care and skill and substantially in accordance with the functionality described in the applicable Order and current documentation. Tell us promptly about a material failure. We will use reasonable efforts to correct it. If we cannot correct it within a reasonable time, the Customer may terminate the affected Service and receive a prorated refund of prepaid unused fees. This remedy does not limit non-waivable statutory rights.
We may update or change the Services, including for security, maintenance, or legal reasons. We will give reasonable advance notice of a material reduction in the core functionality of a paid Service. If we discontinue that Service or materially reduce its core functionality during a prepaid term without a reasonably equivalent replacement, the Customer may terminate the affected Service and receive a prorated refund for the unused period.
Except for express commitments in this Agreement or an Order, and to the extent permitted by law, the Services are provided on an “as available” basis without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not guarantee error-free operation, uninterrupted access, the accuracy of Customer content or AI output, or any particular training, employment, business, or compliance result.
The Services provide workflow tools, not legal, employment, medical, workplace-safety, or other professional advice. A disclaimer here does not remove our own obligations under this Agreement or applicable law.
15. Confidentiality
Each party must protect the other’s non-public information that is identified as confidential or should reasonably be understood to be confidential. This includes private Customer Data and non-public service security information. Use it only to perform or exercise rights under the agreement, safeguard it with reasonable care, and share it only with people or providers who need it and have appropriate confidentiality duties.
These duties do not cover information the recipient can show became public without a breach, was already lawfully known without restriction, was independently developed, or was lawfully received from another source without a confidentiality duty. Legally compelled disclosure is permitted, with advance notice where lawful and reasonable cooperation to limit the disclosure.
16. Teamledge’s intellectual property
Teamledge and its licensors retain rights in the Services, including software, interfaces, documentation, branding, and underlying technology. Purchasing a subscription grants access rights, not ownership of that technology. Our rights do not include ownership of your Customer Data.
If you voluntarily send product feedback, we may use it to develop and improve the Services without payment or attribution. This permission does not authorize public disclosure of your confidential information, use of your logo, or treating ordinary workspace content as feedback.
We may use aggregated or de-identified service performance and usage information for operation, security, and improvement when permitted by law. This does not permit identifying individuals, publishing private Customer content, or attempting to re-identify information represented as anonymous.
17. Limitations of liability
To the maximum extent permitted by law, neither Teamledge nor the Customer is liable to the other for indirect, consequential, incidental, special, exemplary, or punitive damages, or for lost profits, revenue, business opportunity, or anticipated savings arising from this Agreement or the Services.
Each party’s total aggregate liability arising from an affected Order or Service is limited to the fees paid or payable by the Customer for that Order or Service during the 12 months immediately before the first event giving rise to the claim. Related events count as one event for this purpose. For an individual User’s claim concerning a Customer workspace, the applicable fee basis is that Customer’s affected Service.
These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, liability for bodily or moral injury where applicable law prohibits limitation, or any other liability that cannot lawfully be excluded or limited. They do not reduce the Customer’s obligation to pay fees properly due. Unless a signed Order expressly provides otherwise, the monetary cap also applies to the Customer’s indemnification obligations in Section 18.
Each party remains responsible for its own acts and omissions. Customer responsibilities and backup requirements do not excuse a breach by Teamledge. These provisions allocate commercial risk and apply only to the extent enforceable under the law applicable to the claim.
18. Customer indemnification
The Customer will defend Teamledge against a third-party claim to the extent caused by Customer Data that infringes another person’s rights, the Customer’s unlawful workforce practices, or the Customer’s or its Users’ unlawful or materially unauthorized use of the Services. Subject to Section 17, the Customer will pay damages and reasonable legal costs finally awarded or included in a settlement it approves.
This obligation does not apply to the extent a claim results from Teamledge’s breach, negligence, or misconduct. Teamledge must promptly notify the Customer, provide reasonable cooperation at the Customer’s expense, and allow the Customer to control the defence. A settlement cannot admit fault for Teamledge or impose non-monetary obligations on it without its written consent, which will not be unreasonably withheld. An individual User who has not contracted as the Customer does not personally give this indemnity.
19. Canadian law and dispute resolution
This Agreement and each Order are governed by the federal laws of Canada applicable to the agreement and the laws of the province or territory in which the Customer has its principal Canadian business address identified in the Order or billing record when the agreement is entered into, without applying conflict-of-law rules. For an individual using the Services independently of a Customer, the applicable province or territory is their ordinary Canadian residence.
First contact support@teamledges.com with a description of the dispute and the resolution sought. The parties will try in good faith to resolve it for 30 days after notice. This does not prevent urgent relief, a regulatory complaint, a filing needed to preserve a legal deadline, or the exercise of a non-waivable right.
If unresolved, disputes may be brought before the courts with competent jurisdiction in the applicable Canadian province or territory identified above. This Agreement does not impose mandatory arbitration or waive class proceedings. Mandatory rules concerning jurisdiction and the rights of consumers, workers, and other individuals prevail over any inconsistent provision.
The Services are offered to businesses operating in Canada. This scope does not limit applicable provincial or territorial protections, including Quebec requirements. Where law requires a French version or a particular language selection process, those requirements apply; choosing a website display language does not waive them.
20. Changes, general terms, and contact
We may update this Agreement and will publish the revised version with its date. For changes that materially affect an existing Customer’s rights or obligations, we will provide at least 30 days’ advance notice by email or within the Services, except where a shorter period is necessary for law or an urgent security issue. Revised commercial terms normally apply at renewal; changes requiring express agreement will not be treated as accepted merely because a User continues working.
If a material change must apply during a prepaid term and materially disadvantages the Customer, the Customer may terminate the affected Service before the change takes effect and receive a prorated refund for the unused period, unless the change is legally required. Otherwise, continued use after the notified effective date constitutes acceptance to the extent permitted by law.
This Agreement, the applicable Order, and expressly agreed addenda form the agreement about the Services. A Customer purchase order does not add or replace terms unless Teamledge expressly agrees. Neither party may transfer the agreement without the other’s consent, except to a successor in a merger, reorganization, or sale of the relevant business that assumes its obligations. No transfer reduces an individual’s statutory rights.
Neither party is responsible for a delay caused by events beyond its reasonable control if it takes reasonable steps to mitigate the impact; accrued payment obligations remain due. If a provision is unenforceable, it is limited or severed only as necessary and the remaining provisions continue. A failure to enforce a provision is not a waiver. The parties remain independent; this Agreement does not create an employment, agency, or partnership relationship.
Keep account and billing contact information current so we can send service and legal notices. Electronic notices may be used where permitted by law. Acceptance of this Agreement does not subscribe you to marketing communications.
