Teamledge AI Terms
Last updated
The terms for AI assistance, human review, inputs, outputs, and usage allowances.
1. How these AI terms apply
These Teamledge AI Terms (“AI Terms”) supplement the Software Services Agreement (“SSA”) for Customers and the Terms of Service for individual Users who enable or use Teamledge’s identified AI features after being presented with these AI Terms. They are provided by Teamledge Tech Inc. (“Teamledge,” “we,” or “us”).
Defined terms follow the applicable agreement. These AI Terms control AI-specific conflicts, while the DPA controls Customer Personal Information. They do not replace subscription cancellation, liability, or dispute provisions except where expressly stated. A User without authority to bind a Customer does not become responsible for its fees by accepting these terms.
2. Features, seats, and access boundaries
AI may assist with training drafts, questions, practical assessment criteria, broadcasts, translations, reminders, queries about authorized workspace records, and proposed management actions. Availability depends on released features, an assigned AI seat, the Customer’s allowance, and the User’s underlying permissions.
An AI seat does not grant administrative powers, access to another workspace, or a wider employee audience. Creation assistants use the information provided or expressly selected for the request. Management assistants may retrieve only records within the requesting User’s authorized workspace, module, location, department, and object scope.
Feature-specific file, input, session, and usage limits may apply and are shown in the Services. We may update models or functionality, subject to the material service-change protections in the SSA.
3. Drafts and confirmation of actions
Generated content is prepared as a draft for review. An AI-generated suggestion is not a completed business action. Publishing or assigning content, withdrawing or deleting records, changing deadlines, and bulk operations require confirmation by an authorized User after a preview of the relevant scope and consequences.
Review the selected people, content, dates, duplicates, and intended changes before confirming. Cancelling a proposal does not authorize its execution. A request may fail or require clarification; rely on the resulting service status and records, not solely on conversational wording.
AI must not silently overwrite historical assignments, grades, evidence, or approvals. A confirmed new task or version follows the same permissions and recordkeeping rules as an action performed elsewhere in Teamledge.
4. Accuracy and human responsibility
AI output is generated automatically and can be inaccurate, incomplete, biased, misleading, or unsuitable for your organization. It may describe an employee, deadline, or result incorrectly. Similar outputs may be supplied to different customers.
Check outputs against authoritative source records and obtain appropriate review before publishing or relying on them. The Customer remains responsible for training quality, assessment criteria, policy wording, safety procedures, and decisions about its workforce. AI is not professional legal, employment, medical, or safety advice.
Do not use AI output as the sole basis for hiring, promotion, discipline, dismissal, safety-critical action, or another decision with significant effects on an individual. Provide meaningful human judgment and any notice, explanation, review, or challenge process required by law.
5. Inputs, outputs, and intellectual property
“Inputs” include prompts, attachments, selected source materials, and authorized workspace information supplied to an AI request. “Outputs” are generated content and responses. Inputs and workspace Outputs are Customer Data under the SSA.
You must have the rights and authority to submit Inputs and use the requested results. Teamledge receives only the permissions needed to operate, secure, and support the feature and comply with law, subject to the DPA. The Customer and relevant rights holders retain their rights in Inputs.
As between Teamledge and the Customer, the Customer may use its Outputs. To the extent we hold transferable intellectual property rights in those Outputs, we assign them to the Customer. Our underlying software and models are excluded. This does not guarantee that an Output is protectable, unique, accurate, or free of another person’s rights. Review content for infringement and attribution requirements before reuse.
6. AI data processing and providers
Only provide information necessary for the task. Do not send passwords, verification or recovery codes, access tokens, complete payment-card information, or information you lack authority to disclose. Sensitive employment information must be necessary, lawful, and appropriate for the feature.
Relevant Inputs and Outputs may be processed by an AI provider for inference and permitted service operations. We may maintain request, usage, error, and confirmation records needed for service delivery, security, support, and audit. Those records remain subject to applicable privacy and retention commitments.
These AI Terms do not authorize training general-purpose models on private Customer Data. Any separate training use requires explicit agreement, proper disclosure, and a lawful basis; workspace use or an AI seat assignment is not that agreement. When the DPA applies, providers are bound by its instruction and subprocessor requirements.
The actual provider, processing countries, retention, and training restrictions must be supplied in the applicable provider disclosure or DPA Schedule C before the relevant processing. We do not promise universal zero retention, exclusive Canadian processing, or a specific provider arrangement unless expressly agreed. Contact support@teamledges.com for those details.
7. AI allowances, credits, and billing
The accepted Order describes included AI seats, monthly allowances, and recurring credit add-ons. AI allowances reset monthly even on annual subscriptions. Unless the Order expressly says otherwise, unused allowances do not roll over. Credits measure access to processing capacity; they are not currency, transferable assets, or a guarantee of a fixed number of answers.
Consumption depends on the requested feature, model, and input and output volume under the method disclosed in the Services. The Customer can review available usage information. A materially changed consumption method will be disclosed before applying to future usage, subject to agreed subscription protections.
Reaching the allowance pauses AI features while ordinary non-AI workspace functions remain available. We do not automatically charge pay-as-you-go overages or buy additional credits without an authorized purchase. Recurring add-ons follow the base subscription’s billing cycle and the confirmed prorating and renewal rules in the SSA.
Report a suspected metering error to support. We will investigate and correct verified errors. Cancellation, credits, and refunds otherwise follow the SSA and applicable law; consuming AI credits does not waive those rights.
8. Prohibited AI uses
The acceptable-use requirements in the SSA and Terms of Service apply to AI. You must not use AI to:
- Bypass permissions or extract another workspace’s data, hidden instructions, security secrets, or information outside your authorized scope.
- Generate deceptive employee records, fabricated assessment evidence, discriminatory recommendations, unlawful surveillance, harassment, or infringing content.
- Make a prohibited automated decision or use a significant decision workflow without the human review and safeguards required by law.
- Introduce malicious instructions or content intended to compromise systems, people, or data.
A provider restriction applies to you only when it is lawfully incorporated and made available for the relevant feature. Teamledge’s own provider arrangements do not excuse our commitments to the Customer. We may restrict affected AI access proportionately for abuse, security, or legal requirements, with notice and review where practicable.
9. Liability, changes, and contact
The applicable SSA or Terms of Service governs warranties, liability, termination, governing Canadian law, and disputes. Human-review duties do not excuse Teamledge’s own contractual or legal breaches. AI Terms do not create a separate unlimited indemnity for a User.
Material updates follow the notice and acceptance process in the applicable agreement. A new purpose for personal-information processing requires the disclosure, authority, and consent required by law; changing these AI Terms alone is not sufficient.
For AI output concerns, a metering issue, data handling questions, or a request to review a restriction, contact Teamledge Tech Inc. at support@teamledges.com.
